Terms of Service

Last updated: September 17, 2026

These Terms of Service ("Terms") govern your access to and use of the MomoPay website, mobile application, digital dollar wallet, "mchango" group fundraising feature, and related services (together, the "Service"), operated by MomoPay ("MomoPay," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Account Registration

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate, current information when creating an account and to keep it up to date. Before you can fund, hold, or transfer digital dollars, you must complete identity verification (KYC) as described in our Privacy Policy and applicable law. We may refuse to open, or may suspend or close, an account at our discretion, including where required by law or our compliance obligations.

2. Your Wallet and Digital Dollars

MomoPay lets you hold a balance of USD-pegged digital dollars ("USDC") in a wallet provisioned through our custody and blockchain infrastructure provider. MomoPay does not independently custody your funds; wallet infrastructure, transaction execution, and associated compliance controls are provided by our infrastructure partner. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You may fund your wallet via supported mobile money (M-Pesa) or card payment methods, and may withdraw or convert your balance subject to the limits, verification steps, and fees described in the app at the time of the transaction.

3. Mchango Fundraisers

The mchango feature lets users create and contribute to group fundraisers. By creating or contributing to a mchango, you agree to the following:

  • Take-what-you-raise, not all-or-nothing: a mchango does not need to reach its stated target amount for the organizer to withdraw funds. Organizers may withdraw whatever has been raised at the time of withdrawal, and contributions may continue after a target is reached, up until the fundraiser ends.
  • Donations are generally non-refundable. Because contributions are disbursed to organizers based on funds actually raised rather than a fixed goal being met, MomoPay does not guarantee refunds except where a mchango is suspended by MomoPay (see Section 6) or where required by law.
  • Platform fee: MomoPay deducts a platform fee, calculated as a percentage of the amount withdrawn, at the time an organizer withdraws funds from a mchango. The current fee percentage is disclosed in the app before you confirm a withdrawal.
  • Organizer responsibility: organizers are solely responsible for the accuracy of their fundraiser's description, target, and beneficiary information, and for using withdrawn funds for the stated purpose. MomoPay does not guarantee, endorse, or verify the outcome or legitimacy of any individual mchango beyond the review described in Section 6.

4. Fees

MomoPay may charge fees for certain services, including the mchango platform fee described above and fees associated with currency conversion, mobile money transfers, or card-funded top-ups. Applicable fees are disclosed in the app before you confirm a transaction. We may change our fees at any time; changes will apply prospectively to transactions made after the change takes effect.

5. Acceptable Use

Your use of the Service is also governed by our Acceptable Use Policy, which describes fundraiser types and conduct that are prohibited on MomoPay. Violating the Acceptable Use Policy is a violation of these Terms.

6. Suspension, Review, and Refunds

MomoPay may review, suspend, or end any mchango, and may suspend or close any account, at our discretion, including where we believe a fundraiser is fraudulent, misleading, violates our Acceptable Use Policy, or poses a legal or compliance risk. Where we suspend a mchango for these reasons, we will make reasonable efforts to refund contributed funds to donors, subject to funds being available at the time of suspension.

7. Third-Party Services

The Service relies on third-party providers, including payment processors, mobile money partners, and blockchain wallet infrastructure providers, to function. Your use of features backed by these providers may also be subject to their own terms. MomoPay is not responsible for outages, errors, or losses caused by third-party providers acting outside our control, though we will make reasonable efforts to assist you in resolving such issues.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied. MomoPay does not guarantee uninterrupted or error-free operation of the Service, the outcome of any mchango, or the value stability of any digital asset held in your wallet.

9. Limitation of Liability

To the fullest extent permitted by law, MomoPay will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of funds, data, or goodwill, arising from your use of the Service, even if we have been advised of the possibility of such damages.

10. Termination

You may stop using the Service and close your account at any time, subject to withdrawing any remaining wallet balance in accordance with our procedures. We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms or our Acceptable Use Policy, or where required by law or our compliance obligations.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you directly. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
